Responsibilities:
Legal Work
- Partner with project team in contract negotiation with counterparties as owner representative to meet requirement of the Company.
- Prepare, draft, and review commercial contracts both in Thai and English to ensure that terms and conditions comply with applicable laws and regulations, and properly protect the company’s interest.
- Prepare and provide legal documents such as contracts, POA, NDA, MOU and other documents relating to company’s business.
- Advise solutions to complicated legal issues arising out of contracts
- Provide legal advice to and coordinate with related stakeholders of the company to ensure compliance with applicable laws and regulations.
- Provide legal trainings for related parties of the company on existing and upcoming laws and regulations.
- Undertake other ad-hoc projects e.g. due diligence, M&A, liaise with government authorities and other third parties.
- Ensure a policy compliance with information security policy (ISO27001:2013).
Company Secretary
- Arrange meetings for the Board of Directors, Management Committee and Shareholder meeting and coordinate to ensure that all resolutions have been implemented and complied.
- Prepare and maintain documentations including:
a. Director’s Register
b. Board meeting agendas, Minute of Board meeting and annual reports of company
c. Shareholder’s meeting agenda and Minute of shareholder’s meeting - Maintain and process board of directors’ conflict of interest report in a timely manner.
- Give preliminary advice to Board members on legal issues, and practices of good corporate governance principles.
- Provide advice, training, induction, and other activities to support current and newly appointed board members.
- Undertake other tasks as prescribed by the Capital Market or Board of Directors.
Qualifications:
- Academic degree in Laws, with a license to practice law.
- Experience in IPO process is strongly preferred.
- At least 7+ years of experiences in the field of legal, especially corporate commercial contract, terms and agreement.
- At least 2-3 years in handling B2B contracts for large organizations.
- Ability to multi-task with strong analytical and problem-solving skills.
- Ability to communicate well with multiple stakeholders.
